This Asset Manager & Community Admin Addendum (“Addendum”) supplements and forms part of the Cornix Terms of Use available at https://cornix.io/terms/ (the “Main Terms”).
By subscribing to, accessing, or using any Asset Manager, Community Admin, White Label, Signal Provider, Copy Trading, or similar commercial or professional features offered by Cornix (collectively, the “Manager Services”), you agree to this Addendum in addition to the Main Terms.
In the event of a conflict between this Addendum and the Main Terms, this Addendum shall govern solely with respect to the Manager Services.
1. Scope of Services
The Manager Services are intended for users who operate trading communities, manage client trading activities, distribute signals, provide copy trading services, manage multiple users or accounts, or otherwise use the Platform for commercial or professional purposes.
Cornix provides software infrastructure and automation tools only and does not provide brokerage services, custody services, investment advisory services, portfolio management services, fiduciary services, or financial services of any kind.
2. Independent Relationship
You acknowledge and agree that:
a. You operate independently from Cornix;
b. You are solely responsible for your activities, communications, trading strategies, signals, communities, clients, followers, and users;
c. Cornix does not supervise, endorse, verify, monitor, or guarantee your trading activity, signals, strategies, representations, or services;
d. Nothing in this Addendum creates a partnership, agency, employment, joint venture, fiduciary, or representative relationship between you and Cornix.
3. Regulatory Compliance
You are solely responsible for ensuring that your use of the Manager Services complies with all applicable laws, regulations, licensing requirements, securities laws, investment advisory laws, financial promotion laws, AML/KYC obligations, sanctions requirements, consumer protection laws, and cryptocurrency regulations in all relevant jurisdictions.
Without limiting the foregoing, you are solely responsible for determining whether you are required to:
Cornix makes no representation regarding the legality of your activities in any jurisdiction.
4. Client & Community Responsibility
If you manage users, clients, followers, subscribers, or community members, you acknowledge and agree that:
a. You are solely responsible for your relationship with such parties;
b. Cornix is not a party to any agreement between you and your clients, users, or followers;
c. Cornix bears no responsibility for disputes, losses, claims, complaints, damages, or liabilities arising between you and your clients, users, or followers;
d. You are solely responsible for obtaining all required authorizations, permissions, and consents from any person whose account, exchange account, API key, or trading activity is connected to the Platform through your services.
5. Risk Disclosures
You agree to clearly and conspicuously disclose to your users, clients, followers, or community members that:
You shall not make misleading, deceptive, fraudulent, or unsubstantiated claims regarding profitability, performance, or expected returns.
6. Prohibited Conduct
In addition to the restrictions set forth in the Main Terms, you shall not:
a. misrepresent yourself as acting on behalf of Cornix;
b. imply that Cornix endorses, guarantees, certifies, or approves your services, signals, or performance;
c. use the Platform for unlawful securities activity, market manipulation, fraud, or deceptive financial practices;
d. provide false or misleading marketing materials;
e. guarantee profits or promise risk-free trading;
f. use the Platform in violation of any applicable laws or regulations.
7. White Label & Branding
If Cornix permits you to use white-label or custom branding features:
a. Cornix retains all ownership rights in and to the Platform, software, infrastructure, technology, APIs, and intellectual property;
b. You may not claim ownership of the underlying technology or represent the Platform as internally developed by you unless explicitly authorized in writing by Cornix;
c. Cornix reserves the right to require reasonable attribution, legal disclosures, or identification where required for legal, compliance, operational, or security purposes;
d. You remain solely responsible for your own terms of use, privacy policy, client disclosures, and legal compliance obligations.
8. Data Protection & Privacy
You are solely responsible for ensuring that your collection, processing, sharing, and use of personal data complies with all applicable privacy and data protection laws.
Where applicable, you shall obtain all required consents and authorizations from your users or clients before sharing data with or through the Platform.
Cornix may process data as a service provider, processor, or subprocessor in connection with providing the Services.
9. Suspension & Termination
Cornix reserves the right, at its sole discretion, to suspend, restrict, disable, or terminate your access to the Manager Services immediately and without prior notice if:
Cornix shall not be liable for any damages arising from such suspension or termination.
10. Indemnification
In addition to the indemnification obligations contained in the Main Terms, you agree to defend, indemnify, and hold harmless Cornix, its affiliates, officers, employees, directors, contractors, licensors, and partners from and against any claims, damages, liabilities, losses, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

To the maximum extent permitted by law, Cornix shall not be liable for:
The Manager Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.
12. Survival
The provisions relating to indemnification, limitation of liability, compliance obligations, intellectual property, dispute resolution, and any provisions which by their nature should survive termination shall survive termination of this Addendum.
13. Incorporation of Main Terms
Except as expressly modified herein, all provisions of the Cornix Terms of Use remain in full force and effect and are incorporated into this Addendum by reference.
